Dave Babiarz, President and Director
Dave Babiarz represents public and private companies in mergers, acquisitions, public and private financing, corporate governance
and securities compliance. He represents companies in a variety of industries, including oil & gas, mining, renewable energy, technology
and biotechnology.
Dave has extensive experience in securities, including private and public offerings, compliance reporting, proxy solicitation, and
"going private" transactions. He often substitutes for "in house" counsel for businesses that are not yet large enough to have a full-time
attorney on staff. Dave is also experienced in mergers and acquisitions, both for cash and for securities. He works closely with
accountants, tax advisors, investment bankers, financial consultants, and other professionals to address clients' needs.
Dave joined Dufford & Brown in 2002 in order to expand his practice in mergers, acquisitions and securities compliance. He has over
25 years experience, including 8 years as the sole shareholder of his own firm. Dave started practice with a local firm in the Denver
Tech Center and remained for 20 years, ending as the sole shareholder and president. Through this experience, as well as having represented
business owners during his entire career, he is able to bring a businessperson's perspective to the practice of law.

Assisted a publicly traded mining company in closing $75 million PIPE financing, subsequent registration of stock with the SEC and listing

with the SEC
Assisted as outside counsel in connection with acquisition of three publicly-traded companies by another publicly-traded company
Regular outside counsel to several OTC and AMEX companies in SEC compliance reporting
Regular outside counsel to publicly-held renewable energy company
Regular outside counsel to technology company in connection with four rounds of venture capital financing
Acted as outside counsel to two publicly-traded companies in "going private" transactions
